Autodice Inc. – Terms of service

Welcome to Autodice.com (“Autodice,” “we,” “our,” or “us”), operated by Autodice Inc., headquartered in Montreal, Quebec, Canada.
These Terms of Service (“Terms”) govern your access to and use of Autodice’s website, applications, AI systems, and marketplace platform (collectively, the “Platform”).
By accessing or using the Platform, you agree to these Terms. If you do not agree, you must not use the Platform.
1. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts.
The Platform is available to individual car buyers, private sellers, and licensed dealerships inCanada and the United States.
By using the Platform, you represent that all information you provide is accurate and truthful.
2. Nature of the Service
Autodice operates a reverse-auction marketplace connecting car buyers with sellers (dealerships and private sellers).
- Buyers specify the vehicle they want.
- Sellers submit bids to win their business.
Autodice does not own, sell, lease, broker, or guarantee any vehicles.
All vehicle transactions occur off the Platform, directly between buyers and sellers.
Autodice is not a party to any transaction and disclaims all responsibility for the condition, legality, or delivery of any vehicle.
3. Fees and Credits
- The Platform is free for buyers.
- Sellers purchase credits (via Stripe) to access features such as buyer chats, test drives, and rebids
- Credits are consumed per activity and are non-refundable, except where required by law.
- All payments are processed securely through Stripe, and users agree to Stripe’s own terms and privacy policy.
- Autodice does not store or retain payment card details.
4. AI-Powered Services
A. How AI Is Used
- Match buyers with relevant sellers or vehicles.
- Suggest pricing strategies to sellers.
- Automate scheduling for test drives and appointments.
- Provide chat-based assistance to users.
B. Limitations & User Responsibility
AI outputs are advisory only. Users must verify information before relying on it. Autodice does not make binding offers, guarantees, or representations via AI-generated content.
C. AI Training & Data Improvement
We may use aggregated or de-identified user data to improve AI models. We do not use identifiable personal data for AI training without explicit consent.
5. Test Drives & Appointments
Autodice may facilitate test drive bookings between buyers and sellers.
However, Autodice does not guarantee availability or outcomes.
Drivers are solely responsible for compliance with applicable traffic laws and any damages or liabilities arising from test drives.
Autodice is not responsible for scheduling conflicts, cancellations, or damages incurred during test drives.
6. User Accounts
Users must create an account to access certain features and agree to:
- Provide accurate and current information.
- Maintain confidentiality of login credentials.
- Accept responsibility for all activity under their account.
7. Use of Leads
Buyer vehicle requests are shared only with registered sellers whose inventory matches buyer preferences.
Autodice does not sell leads to external third parties.
8. User Responsibilities
Users agree to:
- Provide accurate vehicle and contact information.
- Use the Platform only for lawful automotive transactions.
- Comply with all applicable laws and regulations.
Users may not:
- Submit false, misleading, or fraudulent information.
- Manipulate or game the bidding process.
- Circumvent the Platform or solicit off-platform transactions.
9. Intellectual Property
All content, algorithms, data structures, and technology on the Platform—including Autodice's proprietary AI models and reverse-auction system—are the exclusive property of Autodice Inc.
Users receive a limited, revocable, non-transferable license to use the Platform for lawful purposes only.
Unauthorized use, reproduction, or modification of Autodice intellectual property is strictly prohibited.
10. Payments
All credit purchases and payments are processed through Stripe.
Autodice does not store or retain payment card information and is not responsible for Stripe's services or policies.
All purchases are final unless otherwise required by applicable law.
11. Disclaimers
The Platform and all AI features are provided “as is” and “as available.”
Autodice disclaims all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement.
Autodice is not liable for:
- Errors, inaccuracies, or omissions in AI-generated outputs.
- Vehicle condition, legality, or quality.
- Misrepresentations by users.
- Accidents, damages, or losses during test drives.
- Data loss, unauthorized access, or interruptions in service.
12. Limitation of Liability
To the fullest extent permitted by law:
Autodice’s total liability shall not exceed the total fees paid by the user to Autodice in the 12 months preceding the claim, or CAD $100, whichever is greater.
Autodice is not liable for indirect, incidental, or consequential damages of any kind.
13. Indemnification
Users agree to indemnify and hold harmless Autodice Inc., its officers, employees, and affiliates from any claims, damages, or liabilities arising out of:
- Their use of the Platform or AI features.
- False or misleading information provided.
- Violation of these Terms or applicable law.
14. No Professional Advice
AI-generated outputs and Platform content do not constitute financial, legal, or automotive advice.
Users should seek independent professional guidance before making purchase or pricing decisions.
15. Modifications to Terms
Autodice may modify or update these Terms at any time.
Updated Terms take effect upon posting on the Platform.
Continued use of the Platform after updates constitutes acceptance of the revised Terms.
16. Suspension or Termination
Autodice may suspend or terminate accounts without notice for:
- Fraudulent, abusive, or unlawful conduct.
- Misuse of AI or Platform features.
- Behavior that harms other users or Autodice's reputation.
17. Governing Law & Dispute Resolution
These Terms are governed by the laws of Quebec, Canada, without regard to conflict of law principles.
Any dispute shall be resolved through binding arbitration in Montreal, Quebec, except where prohibited by law.
For U.S. users, applicable federal and state laws (including Delaware law) may apply to specific provisions.
